A contractual agreement in which one party agrees to compensate the other for any harm, liability, or loss.

Why it matters

These clauses protect the company against losses. They must be carefully drafted to provide adequate protection (for example, limiting indemnification to only third party losses versus first party losses). Uncapped first-party indemnity clauses can end up being a backdoor to unlimited liability.
